This service is currently in Public Beta. By using Consciousview, you acknowledge that this is an early-stage platform that may contain bugs, experience downtime, or be discontinued at any time. Please read these terms carefully.
1. Acceptance of Terms
By accessing or using Consciousview (“Service,” “Platform,” “we,” “us,” or “our”), you (“User,” “you,” or “your”) agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you must not access or use the Service.
You represent that you are at least 18 years old and have the legal capacity to enter into binding contracts. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
We reserve the right to modify these Terms at any time, with or without notice. Continued use of the Service after any modification constitutes acceptance of the modified Terms.
2. Service Description
2.1 What We Provide
Consciousview is a platform that enables:
- Builders (developers) to showcase and list finished software projects
- Explorers (individuals or companies) to discover, inquire about, and potentially acquire or collaborate on listed projects
- Direct communication between Builders and Explorers through our messaging system
2.2 What We Do Not Provide
We explicitly do not:
- Facilitate, process, or handle any financial transactions or payments
- Provide escrow services
- Guarantee the quality, functionality, security, or legitimacy of any listed project
- Verify the accuracy of any user-provided information
- Mediate disputes between users
- Provide legal advice regarding intellectual property transfers
- Guarantee any traffic, inquiries, or successful transactions
2.3 Beta Status
The Service is currently in Public Beta. This means features may change, be added, or be removed without notice. The Service may contain bugs or errors. Data loss may occur. Service availability is not guaranteed. The Service may be discontinued at any time.
3. User Accounts
To use certain features, you must create an account by providing accurate and complete information including your email address, name, and user type (Builder or Explorer).
You are solely responsible for maintaining the confidentiality of your account credentials, all activities that occur under your account, and notifying us immediately of any unauthorized access.
We reserve the right to suspend, disable, or terminate your account at any time, for any reason, with or without notice, including but not limited to violation of these Terms, fraudulent or illegal activity, providing false information, abusive behavior toward other users, or any other reason at our sole discretion.
4. User Content and Conduct
4.1 Your Content
“User Content” includes all information, data, text, software, code, images, and other materials you upload, submit, or transmit through the Service, including profile information, project listings, screenshots, code repositories, messages, and portfolio items.
4.2 Content Ownership
You retain ownership of your User Content. However, by submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, modify, display, and distribute your User Content solely for the purpose of operating and improving the Service.
4.3 Content Representations and Warranties
By submitting User Content, you represent and warrant that:
- You own or have the necessary rights, licenses, and permissions to submit and share the content
- Your content does not infringe any third-party intellectual property rights, privacy rights, or other rights
- Your content does not contain malicious code, viruses, or harmful components
- Your content is not false, misleading, defamatory, or fraudulent
- Your content complies with all applicable laws and regulations
4.4 Prohibited Conduct
You agree not to:
- Submit content you do not have rights to share
- Misrepresent the ownership, origin, or nature of any project
- Submit projects containing malicious code, backdoors, or security vulnerabilities with intent to harm
- Use the Service for any illegal purpose
- Harass, abuse, or harm other users
- Impersonate any person or entity
- Interfere with or disrupt the Service
- Attempt to gain unauthorized access to the Service or other users' accounts
- Scrape, harvest, or collect user data without permission
- Engage in spam, phishing, or fraudulent schemes
4.5 Content Removal
We reserve the right to remove any User Content at any time, for any reason, without notice or liability to you.
5. Transactions Between Users
All transactions, negotiations, agreements, and communications regarding the acquisition, licensing, or collaboration on projects occur directly between users. We are not a party to any such transactions.
We do not charge commissions on any transactions between users. We do not facilitate payments or transfers of funds.
You are solely responsible for conducting due diligence on any project or user, negotiating and documenting terms of any transaction, ensuring proper intellectual property transfer and licensing, complying with applicable laws, and resolving any disputes with other users.
We make no guarantees regarding the accuracy of project descriptions or user information, the quality, functionality, or security of any listed project, the legitimacy of any user or project, the completion or success of any transaction, or the value or potential of any project.
Recommended Due Diligence: We strongly recommend that users verify project ownership and intellectual property rights independently, conduct thorough code review before any acquisition, use appropriate legal contracts for any transaction, consult with legal professionals for significant transactions, and verify the identity of other users through independent means.
6. Intellectual Property
The Service, including its design, features, functionality, and underlying technology, is owned by Consciousview and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works of the Service.
We do not claim ownership of the intellectual property in user-submitted projects. Intellectual property rights in projects remain with the respective owners.
We are not responsible for and will not be involved in any intellectual property disputes between users or between users and third parties. Such disputes must be resolved directly between the parties involved.
7. Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
By creating an account, you consent to receive electronic communications from us, including email notifications related to your account and the Service. You may opt out of marketing communications but not transactional or service-related communications.
8. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to: merchantability, fitness for a particular purpose, non-infringement, accuracy or completeness, availability or reliability, security, or error-free operation.
You expressly acknowledge and agree that use of the Service during beta is at your sole risk. The Service may contain bugs, errors, and other problems. We provide no warranties that the Service will meet your requirements or expectations.
We do not endorse, warrant, or assume responsibility for any User Content or any product, service, or project advertised or offered by users through the Service.
We do not verify users' identities, backgrounds, or the accuracy of information they provide. Any verification badges or statuses are based on limited information and should not be relied upon.
We do not review, test, audit, or verify the quality, security, functionality, or legitimacy of any project listed on the Service. All projects are listed by users without our endorsement.
9. Limitation of Liability
To the maximum extent permitted by law, in no event shall Consciousview, its officers, directors, employees, agents, or affiliates be liable for: any indirect, incidental, special, consequential, or punitive damages; any loss of profits, revenue, data, or business opportunities; any loss arising from transactions between users; any loss arising from reliance on information on the Service; any loss arising from interruption or unavailability of the Service; any loss arising from third-party conduct; any loss arising from security breaches or data loss.
To the maximum extent permitted by law, our total aggregate liability for all claims arising out of or relating to these Terms or the Service shall not exceed the greater of: (a) one hundred US dollars ($100), or (b) the amount you have paid us in the twelve (12) months preceding the claim.
Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.
10. Indemnification
You agree to indemnify, defend, and hold harmless Consciousview, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Service, your User Content, your violation of these Terms, your violation of any rights of any other person or entity, any transaction or dispute with another user, or any intellectual property claims related to your content or projects.
11. Service Modifications and Termination
We reserve the right to modify, suspend, or discontinue the Service, in whole or in part, at any time, with or without notice, for any reason.
We may terminate the Service entirely at any time. In such event, we will make reasonable efforts to provide advance notice when practicable, we may (but are not obligated to) allow you to export your data, and we are not liable for any loss resulting from service termination.
Upon termination of the Service or your account, your right to access the Service immediately ceases, we may delete your User Content without liability, and provisions that by their nature should survive termination will survive.
We are under no obligation to retain, return, or transfer your data after termination. We recommend that you maintain independent backups of your important data.
12. Dispute Resolution
Before initiating any formal dispute resolution, you agree to first contact us and attempt to resolve the dispute informally for at least thirty (30) days.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that cannot be resolved informally shall be resolved by binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify.
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
You waive any right to a jury trial in any proceeding arising out of or relating to these Terms or the Service.
13. General Provisions
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Consciousview regarding the Service.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
